Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Association Ballot Manager software, plugins, extensions, compliance packs, licenses, digital downloads, upgrades, services, and related products offered by LIMNET, LLC (“LIMNET,” “we,” “us,” or “our”) through AssociationBallotManager.com and related websites or services.

By purchasing, downloading, installing, activating, accessing, or using Association Ballot Manager or any related product, or by checking the box indicating that you agree to these Terms during checkout, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are purchasing or using Association Ballot Manager on behalf of an organization, association, management company, homeowners association, condominium association, nonprofit organization, business, or other entity, you represent that you have authority to accept these Terms on behalf of that entity.

If you do not agree to these Terms, do not purchase, install, activate, or use the applicable product or service.

2. Association Ballot Manager Software

Association Ballot Manager (“ABM”) is software designed to assist organizations in administering elections, ballots, voting processes, voter records, election documentation, and related administrative activities.

ABM may include a free core WordPress plugin as well as optional paid upgrades, commercial features, license-based products, State Packs, compliance-related materials, roster capacity upgrades, election-security features, and other extensions or services.

Features and product offerings may be changed, improved, replaced, discontinued, or updated from time to time.

3. Free Core Plugin

The Association Ballot Manager Free Core plugin may be made available without charge through WordPress.org or other authorized distribution channels.

The Free Core may be used subject to its applicable open-source license and any limitations or functionality built into that version.

Optional paid products may add additional capabilities, capacity, compliance resources, security features, State Pack functionality, or other commercial functionality.

Purchasing a paid ABM product does not transfer ownership of the underlying software, trademarks, proprietary materials, documentation, commercial licensing systems, or intellectual property.

4. Paid Upgrades and Commercial Products

Paid Association Ballot Manager products may include, without limitation:

  • Pro-level features and election-security functionality;
  • voter roster capacity upgrades;
  • State Packs;
  • multi-state or all-state access;
  • Portfolio or Management Company licensing;
  • Commercial Extensions;
  • other upgrades, bundles, extensions, or services offered through AssociationBallotManager.com.

The features included with each purchase are those described on the applicable product page or checkout page at the time of purchase.

We may modify product names, packaging, features, or pricing for future purchases. Changes to future pricing do not retroactively change amounts already paid for an existing purchase term unless otherwise agreed.

5. Commercial Extensions

Certain paid license-based Association Ballot Manager products may include access to the Commercial Extensionsplugin.

Commercial Extensions may provide functionality associated with one or more paid entitlements. A customer may install Commercial Extensions once and activate the features associated with the valid entitlement or license keys purchased for that installation.

Commercial Extensions is provided as part of qualifying license-based purchases and is not necessarily offered as a separate standalone product.

Access to commercial functionality may depend upon the continued validity of the applicable license or entitlement.

6. State Packs

Individual Association Ballot Manager State Packs are separately downloadable WordPress plugins designed to provide state-specific information, citations, election-related configuration, templates, or other state-oriented functionality.

Individual State Packs may operate with the Association Ballot Manager Free Core plugin and may not require a separate license key unless otherwise stated at the time of purchase.

State Packs are informational and administrative tools. They are not legal advice, do not constitute a legal opinion, and do not guarantee compliance with any statute, regulation, governing document, election requirement, or other legal obligation.

Laws, regulations, administrative rules, case law, governmental interpretations, and election requirements may change after a State Pack is published or updated.

You are solely responsible for confirming that your election procedures comply with all laws, regulations, governing documents, bylaws, declarations, articles, rules, policies, court orders, and other requirements applicable to your organization.

7. License Terms and Permitted Use

Unless expressly stated otherwise on the applicable product page, paid license-based products are licensed for use according to the product level purchased.

You may use the software only for lawful purposes and within the scope of the license or entitlement you purchased.

You may not:

  • sell, sublicense, rent, lease, distribute, or commercially transfer your license key or entitlement to another person or entity unless expressly authorized by LIMNET;
  • share a license key with unrelated organizations or customers beyond the scope permitted by the purchased license;
  • circumvent license validation, entitlement restrictions, voter limits, product restrictions, security controls, or technical protection measures;
  • falsely represent a license as valid after expiration, cancellation, refund, revocation, or termination;
  • use the software to facilitate unlawful voting activity, election fraud, voter impersonation, unauthorized access, or other unlawful conduct;
  • use LIMNET or Association Ballot Manager trademarks in a manner that falsely suggests sponsorship, partnership, endorsement, or ownership.

Any open-source portions of Association Ballot Manager remain subject to their applicable open-source licenses. These commercial Terms govern commercial services, paid entitlements, access credentials, proprietary content, support, downloadable commercial packages, and other rights provided by LIMNET.

8. License Term and Annual Renewals

Unless the applicable product page expressly states otherwise, license-based Association Ballot Manager upgrades are sold for a one-year license term.

If automatic renewal is offered and you elect or authorize automatic renewal, your license may renew for additional one-year periods at the price disclosed to you for the applicable renewal, unless canceled before the renewal is processed.

Where automatic renewal applies, the renewal terms, renewal price or applicable pricing method, and cancellation options will be disclosed during the purchase or account process as required.

You are responsible for maintaining accurate billing and account information.

If a renewal payment fails, is canceled, is refunded, is reversed, or is not completed, the associated paid entitlement may expire or become inactive.

Expiration of a commercial license may disable paid commercial functionality associated with that entitlement. It does not necessarily remove election data already stored in your WordPress database.

You may cancel future automatic renewals through the cancellation method made available through your account, subscription management page, payment provider, or by contacting LIMNET through the contact method provided on AssociationBallotManager.com.

Cancellation of automatic renewal prevents future renewal charges but does not ordinarily terminate access already paid for during the current license term.

9. Pricing and Payment

All prices are displayed in U.S. dollars unless otherwise stated.

You agree to pay all charges shown at checkout, including any applicable taxes or fees.

Prices may change at any time for future purchases or renewals. The price applicable to your order is the price displayed and accepted at the time the transaction is completed, subject to correction of obvious pricing or technical errors.

We reserve the right to cancel or refund an order resulting from a clear pricing, technical, or checkout error.

Payment processing may be provided by third-party payment processors. LIMNET does not control all aspects of third-party payment systems and is not responsible for outages or errors caused solely by those providers.

10. Digital Delivery

Association Ballot Manager upgrades and related products are primarily digital products.

After successful payment, downloadable files, license keys, entitlement information, account access, or other fulfillment information may be delivered electronically through the website, customer account, order confirmation, email, or another electronic method.

You are responsible for providing a valid email address and maintaining access to the email account and WordPress installation associated with your purchase.

You are also responsible for downloading and securely retaining any files, license information, or records made available to you.

11. Refunds

Because Association Ballot Manager products are digital software products and downloadable digital content, purchases may become immediately accessible after payment.

Refund requests must be made within fourteen (14) calendar days of the initial purchase date. After fourteen (14) calendar days from the initial sale, the purchase is considered final and is no longer eligible for a refund, except where otherwise required by applicable law.

To request a refund, you must contact LIMNET at refunds@limnet.com within the fourteen-day refund period and provide:

  • your name;
  • the email address associated with the purchase;
  • the applicable order or transaction information, if available; and
  • the reason you are requesting the refund.

Submitting a refund request within fourteen days does not automatically guarantee approval. LIMNET reserves the right to review the circumstances of the request, including the nature of the product purchased, delivery of digital files or license credentials, and any other relevant circumstances.

LIMNET may consider refund requests involving technical issues, duplicate purchases, purchase errors, inability to deliver the purchased product, or other reasonable circumstances.

Any refund approved by LIMNET may result in immediate cancellation or revocation of the associated license, entitlement, download access, upgrade rights, Commercial Extensions functionality, State Pack access where applicable, or other paid functionality associated with the refunded purchase.

Refund eligibility applies to the initial sale of the applicable product. Renewal payments, including annual license renewals, are not eligible for the fourteen-day initial-purchase refund period unless otherwise stated at the time of renewal or required by applicable law.

Chargebacks or payment reversals may result in suspension or revocation of associated licenses or entitlements while the payment dispute is pending.

Nothing in this section limits any non-waivable refund, cancellation, or consumer rights available under applicable law.

12. Software Requirements and Compatibility

Association Ballot Manager is designed for use with compatible WordPress environments and may depend upon WordPress, PHP, web hosting, database software, browsers, email delivery systems, third-party plugins, payment providers, or other technologies.

You are responsible for maintaining a suitable hosting and WordPress environment.

We do not guarantee compatibility with every theme, plugin, hosting company, server configuration, security product, caching product, custom code modification, or third-party service.

Updates to WordPress, PHP, browsers, operating systems, hosting platforms, third-party plugins, or other technologies may occasionally affect compatibility.

13. Updates

We may provide software updates, corrections, security improvements, compatibility changes, new versions, or other modifications.

Customers with active qualifying licenses may receive commercial updates according to the terms applicable to their purchased product.

We do not guarantee that every feature will remain unchanged indefinitely.

You are responsible for maintaining appropriate backups before installing or updating WordPress, Association Ballot Manager, Commercial Extensions, State Packs, or other software.

14. Election Responsibility

Association Ballot Manager is an administrative software tool. It does not act as an election official, attorney, election inspector, tabulator, property manager, board member, governmental authority, or legal advisor.

You and your organization remain solely responsible for the conduct and administration of your elections.

This includes responsibility for determining, among other things:

  • voter eligibility;
  • quorum requirements;
  • voting periods and deadlines;
  • ballot content;
  • candidate eligibility;
  • voting rights and allocations;
  • notice requirements;
  • proxies;
  • secret-ballot requirements;
  • record retention;
  • election inspectors;
  • recounts;
  • challenges;
  • tie-breaking procedures;
  • statutory requirements;
  • governing-document requirements; and
  • certification or acceptance of election results.

Association Ballot Manager does not determine whether your election is legally valid.

You should consult qualified legal counsel when legal interpretation or compliance advice is needed.

15. No Legal Advice

Neither Association Ballot Manager nor any State Pack, documentation, citation, template, help text, software feature, website content, support response, or other material provided by LIMNET constitutes legal advice.

Legal citations, statutory information, compliance notes, templates, and other election-related materials are provided for general informational and administrative assistance only.

Although LIMNET may attempt to provide accurate and useful information, laws and legal interpretations may change and may vary depending upon the facts, organization type, jurisdiction, governing documents, or other circumstances.

You should independently verify legal requirements and consult an attorney licensed in the appropriate jurisdiction where necessary.

16. Election Security

Certain Association Ballot Manager paid products may provide enhanced election-security functionality, which may include features such as tokenized ballot links, hashed ballot credentials, audit logging, access controls, or related technical safeguards.

No software system can guarantee absolute security.

You are responsible for maintaining appropriate WordPress, server, hosting, administrator-account, email-account, password, and network security.

You are also responsible for controlling administrative access to your election system and protecting voter information and election credentials from unauthorized access.

LIMNET is not responsible for security incidents caused by compromised hosting accounts, weak or reused passwords, unauthorized administrator access, malware, vulnerable third-party plugins or themes, server compromise, email-account compromise, improper configuration, customer actions, or circumstances outside LIMNET's reasonable control.

17. Data and Backups

Association Ballot Manager may store election-related information within your WordPress installation or database.

You are responsible for determining what information you collect, ensuring that you have the lawful authority to collect and process it, maintaining appropriate backups, controlling access to it, and retaining or deleting records as required by applicable law and organizational policy.

You should maintain reliable backups before elections, software updates, migrations, hosting changes, or other significant administrative actions.

LIMNET is not your primary backup provider and does not guarantee recovery of information stored on systems controlled by you or your hosting provider.

18. Privacy

Your use of AssociationBallotManager.com and Association Ballot Manager may also be subject to our Privacy Policy, if applicable.

You are independently responsible for the privacy policies, notices, consent mechanisms, security practices, and data-processing obligations applicable to your own organization and voters.

19. Customer Accounts and Credentials

If you create an account or receive credentials, license keys, download links, or other access information, you are responsible for maintaining their confidentiality.

You are responsible for activity occurring through your account or credentials to the extent caused by your failure to reasonably protect them.

You agree to notify LIMNET if you become aware of unauthorized access to your customer account or commercial license credentials.

20. Prohibited Conduct

You may not use Association Ballot Manager or our website to:

  • violate applicable law;
  • interfere with another person's voting rights;
  • knowingly falsify election information;
  • gain unauthorized access to systems or accounts;
  • distribute malicious code;
  • interfere with the security or operation of our services;
  • impersonate another person;
  • use stolen payment information;
  • circumvent product licensing or entitlement controls; or
  • engage in conduct intended to damage LIMNET, Association Ballot Manager, our customers, or third parties.

We may suspend or terminate access to commercial services or licenses when reasonably necessary to address fraud, abuse, security threats, unlawful activity, payment reversals, or material violations of these Terms.

21. Intellectual Property

Association Ballot Manager, the Association Ballot Manager name and branding, LIMNET branding, commercial documentation, proprietary website materials, graphical assets, commercial licensing systems, and other proprietary materials are owned by LIMNET or its licensors except where otherwise indicated.

Nothing in these Terms transfers ownership of LIMNET's trademarks, branding, proprietary materials, or other intellectual property.

Open-source software components remain governed by their respective licenses.

22. Third-Party Software and Services

Association Ballot Manager operates in an ecosystem that may include WordPress, WooCommerce, web hosts, payment processors, email systems, browsers, themes, plugins, and other third-party software or services.

LIMNET does not control those third parties and is not responsible for their availability, security, performance, terms, policies, updates, outages, or changes.

Your use of third-party products may be subject to separate agreements with those providers.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASSOCIATION BALLOT MANAGER, STATE PACKS, COMMERCIAL EXTENSIONS, SOFTWARE, DOWNLOADS, DOCUMENTATION, WEBSITE CONTENT, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

LIMNET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LIMNET DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETELY SECURE, COMPATIBLE WITH EVERY SYSTEM, OR SUITABLE FOR EVERY ORGANIZATION OR ELECTION.

LIMNET DOES NOT WARRANT OR GUARANTEE THAT USE OF ASSOCIATION BALLOT MANAGER WILL CAUSE AN ELECTION TO COMPLY WITH APPLICABLE LAW OR GOVERNING DOCUMENTS OR WILL PREVENT AN ELECTION FROM BEING CHALLENGED.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIMNET, LLC AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO ASSOCIATION BALLOT MANAGER OR THESE TERMS.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF DATA, LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOSS OF GOODWILL, ELECTION DELAYS, ELECTION CHALLENGES, INVALIDATED ELECTIONS, RE-VOTING COSTS, MISDELIVERED EMAILS, UNAUTHORIZED ACCESS, OR LOSS RESULTING FROM CUSTOMER CONFIGURATION OR THIRD-PARTY SYSTEMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIMNET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PAID PRODUCT, TRANSACTION, OR CLAIM SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO LIMNET BY YOU FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless LIMNET, LLC and its owners, members, managers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, costs, and reasonable expenses arising from:

  • your unlawful or unauthorized use of Association Ballot Manager;
  • your violation of these Terms;
  • your violation of the rights of another person;
  • election procedures or decisions controlled by you or your organization;
  • information, ballots, voter lists, candidate information, or other content entered or supplied by you;
  • your failure to comply with applicable laws or governing documents; or
  • your negligent, fraudulent, or wrongful conduct.

This obligation does not apply to the extent a claim results solely from LIMNET's own conduct for which indemnification may not lawfully be required.

26. Suspension and Termination

We may suspend or terminate access to commercial licenses, entitlements, accounts, downloads, or services when reasonably necessary because of:

  • material violation of these Terms;
  • fraud or suspected fraud;
  • unauthorized license sharing;
  • circumvention of licensing controls;
  • unlawful use;
  • security threats;
  • chargebacks or reversed payments;
  • expiration or cancellation of a license; or
  • circumstances requiring suspension to protect LIMNET, our systems, our customers, or third parties.

Termination does not eliminate payment obligations incurred before termination.

Provisions that by their nature should survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

27. Changes to These Terms

We may update these Terms from time to time to reflect changes in our products, business practices, legal requirements, or services.

The revised Terms will be posted on AssociationBallotManager.com with an updated “Last Updated” date.

Material changes will apply prospectively except where a change is required by law, necessary for security, or otherwise permitted under applicable law.

Your continued purchase or use of applicable products after revised Terms become effective constitutes acceptance of those Terms where legally permitted.

28. Governing Law

These Terms and any dispute arising out of or relating to these Terms, Association Ballot Manager, or a purchase from LIMNET shall be governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except to the extent that applicable law requires otherwise.

Subject to any non-waivable rights or jurisdictional requirements imposed by applicable law, legal proceedings arising from these Terms shall be brought in a court of competent jurisdiction located in Maricopa County, Arizona, and the parties consent to jurisdiction and venue there.

29. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified to the minimum extent necessary to make it enforceable.

The remaining provisions will remain in full force and effect.

30. No Waiver

Failure by LIMNET to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

31. Entire Agreement

These Terms, together with any applicable product description, checkout terms, Privacy Policy, Refund Policy, license terms, or other policies expressly incorporated by reference, constitute the agreement between you and LIMNET relating to the applicable purchase or use of Association Ballot Manager.

If there is a direct conflict between these Terms and specific written terms presented for a particular product at checkout, the specific product or checkout terms control with respect to that purchase.

33. Acceptance at Checkout

By checking the box stating that you have read and agree to these Terms and Conditions and completing your purchase, you affirmatively acknowledge and agree that:

  1. you have read and accept these Terms and Conditions;
  2. you understand that you are purchasing digital software, downloads, licenses, entitlements, or related digital products;
  3. you understand the term and renewal conditions displayed for the product you are purchasing;
  4. you authorize the charges displayed at checkout;
  5. where automatic renewal is expressly selected or authorized, you authorize recurring renewal charges according to the disclosed renewal terms until canceled; and
  6. you understand that Association Ballot Manager is an administrative election tool and does not provide legal advice or guarantee the legal validity of any election.
